Valet Seller Terms and Conditions
Overview
By accessing and using the Valet Seller platform (“Platform”), you (“Merchant”) agree to be bound by these terms and conditions (“Agreement”). Any violation of these terms may result in the removal of your products and termination of your account. Valet Seller Services, LLC (“Valet Seller”) is a third-party logistics (3PL) provider with a comprehensive software platform designed to support brands in integrating various sales channels for streamlined fulfillment. Our platform enables brands to manage and monitor their products and inventory levels within our warehouses, while also expanding their reach to new sales channels. Through our multi-channel integrations, we facilitate the efficient distribution of your products across multiple online marketplaces, helping you reach a broader customer base.
Membership
To take advantage of our e-commerce and warehouse services, you need to set up a Merchant account on the Platform and provide all necessary information. An active account is required to utilize our services. Valet Seller reserves the right to reject or remove any Merchant or product at its sole discretion. By creating an account, you authorize Valet Seller to list your products on the specific marketplaces as agreed upon in the onboarding process and integrate with existing sales channels to manage fulfillment.
Shipping and Inventory
You are required to send your inventory to Valet Seller’s warehouse for order fulfillment. You retain ownership of the stock in Valet Seller’s warehouse and are responsible for insurance. Valet Seller may liquidate or dispose of abandoned inventory or if your account is past due. Storage fees will be assessed based on the cubic volume required to store your inventory. Valet Seller does not insure Merchant’s inventory within our fulfillment center. Merchant maintains and assumes full responsibility for any liability arising from Valet Seller’s distribution of the Product. Client indemnifies, defends, and holds harmless Valet Seller and its members, directors, officers, employees, and agents from any and all claims, demands, actions, suits, and other losses resulting from Valet Seller’s distribution of the Product. Fulfillment Fees
Accounts must be kept current for all ongoing 3PL fees and storage. You must have an active credit card or bank account on file. Failure to pay may result in suspended services and held marketplace funds.
Product Guidelines
Valet Seller reserves the right to accept, reject, or remove any product at its sole discretion. Ensure all product descriptions and content are accurate and complete. Valet Seller may adjust product details for optimization purposes.
Promotions
Valet Seller may run promotions offering buyer discounts. You can opt in or out and set discount limits. Changes to your participation may take up to 24 hours to take effect. Complete Advertising Terms here.
Pricing
You must set a Product Price in the Platform, including shipping costs. Valet Seller may adjust displayed prices based on your listed price to optimize sales. Please note, price changes may take 24-48 hours to reflect and may not be accepted by all connected online stores.
Customer Service
Valet Seller will assist with basic customer service functions such as order tracking and returns but does not guarantee resolution of all issues because we abide by marketplace policies on returns, dispute processes, and payment policies.
Conduct
Maintain high standards of conduct to protect the reputation of all parties involved. Do not engage in shilling or fraudulent activities.
Termination
Either party may terminate this Agreement at any time. Upon termination, you must fulfill any outstanding orders. Certain obligations, such as handling returns, will survive termination.
Payments and Fees
Valet Seller will process payments on your behalf. You must provide accurate billing information. Refunds are not available. Valet Seller reserves the right to terminate or suspend Payment Services or decline transactions at any time and for any reason.
Merchant acknowledges:
- The transaction is for payment only; Valet Seller is not the buyer of any products.
- Valet Seller does not provide financial data of Merchant’s buyers or other end-users.
- Valet Seller may issue invoices on behalf of Merchant.
- Merchant authorizes Valet Seller to verify information regarding Merchant’s account (including the authenticity thereof) using credit reports or other means.
- Merchant shall resolve all disputes with buyers as set forth below in the Returns and Transactions Disputes section.
Valet Seller initiates transfers for completed orders once per month by the 15th, covering payments received from the 1st to the last day of the previous month. Transfers may take 3-5 days to process. Valet Seller reserves the right to hold or delay funds at its discretion. Merchant must provide complete and accurate bank account information and will update such information so that it remains current and accurate at all times during the term of the Agreement. Funds that cannot be deposited into Merchant’s bank account due to incorrect bank information will be held by Valet Seller until Merchant provides updated and accurate information.
Valet Seller may seek reimbursement for refunds, chargebacks, or overpayments through future payments or other means.
You must provide accurate tax ID information for reporting purposes.
Returns and Disputes
You must accept returns within 90 days of delivery. You are responsible for all return costs.
Provide necessary information to resolve disputes. Non-compliance may result in account suspension or termination.
Warranties
You warrant that all products are free from defects and comply with all applicable laws and regulations. You must have the right to sell and distribute your products.
Indemnification and Insurance
You agree to indemnify and hold Valet Seller harmless against any claims related to your products. You must maintain product liability insurance of $1,000,000 for the term of this Agreement and three years thereafter.
Limitation of Liability
Neither party is liable for indirect or consequential damages. Liability is limited to the amounts paid by Valet Seller to you in the preceding 12 months.
Confidentiality
You agree to keep Valet Seller’s proprietary information confidential. Customer data belongs to Valet Seller and must only be used to fulfill your obligations under this Agreement.
Governing Law and Dispute Resolution
This Agreement is governed by the laws of Puerto Rico. Any disputes arising out of or relating to this Agreement shall be resolved through arbitration in Puerto Rico.
Entire Agreement
This Agreement constitutes the complete and exclusive agreement between Valet Seller and you. Any conflicting terms in your communications are hereby rejected.
